Welcome to Rux Labs. These Terms of Service ("Terms") govern your access to and use of our mobile applications, including Clockdown and any other applications we develop (collectively, the "Apps"), and our website located at www.ruxlabs.com (the "Site").
By downloading, installing, accessing, or using our Apps or Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Apps or Site.
"Rux Labs," "we," "us," and "our" refer to the company operating the Apps and Site. "You" and "your" refer to you, the user of our Apps or Site.

Subject to your compliance with these Terms, Rux Labs grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Apps on devices you own or control, solely for your personal, non-commercial use.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms.
You retain ownership of any content you create, submit, or store through the Apps ("User Content"), such as countdown titles and descriptions in Clockdown. By using the Apps, you grant Rux Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely to provide and improve the Apps.

For Clockdown, User Content is stored locally on your device and is not transmitted to our servers. You are solely responsible for backing up your User Content. We are not responsible for any loss or corruption of User Content.
The Apps and Site, including all content, features, functionality, software, text, graphics, logos, and other materials (excluding User Content), are owned by Rux Labs or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not use our trademarks, logos, or other proprietary information without our prior written consent. All rights not expressly granted to you in these Terms are reserved by Rux Labs.
Our Apps and Site may contain links to third-party websites, services, or content that are not owned or controlled by Rux Labs. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that we are not liable for any damage or loss caused by or in connection with your use of any third-party services. We strongly advise you to read the terms and conditions and privacy policies of any third-party services you access.
Some Apps may offer in-app purchases or subscription features. All purchases are processed through the app store from which you downloaded the App (e.g., Google Play Store). Payment terms, refund policies, and billing practices are governed by the applicable app store's terms and policies.
We reserve the right to modify pricing or discontinue any in-app purchases or subscriptions at any time. All sales are final unless otherwise required by law or the app store's policies.

THE APPS AND SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Apps or Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Apps and Site at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUX LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

We reserve the right to suspend or terminate your access to the Apps or Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Apps and Site will immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
If a dispute arises between you and Rux Labs, we encourage you to contact us at hello@ruxlabs.com to attempt to resolve the dispute informally before resorting to formal dispute resolution.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Apps or Site shall be resolved through binding arbitration administered by a recognized arbitration organization, rather than in court, except that you may assert claims in small claims court if your claims qualify.
YOU AND RUX LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Rux Labs operates, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in that jurisdiction for any disputes not subject to arbitration.
We reserve the right to modify, suspend, or discontinue any part of the Apps or Site at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Apps or Site.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rux Labs regarding your use of the Apps and Site and supersede any prior agreements.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.
